How an aged LLC sale works

  4. Written agreementBoth parties sign a purchase agreement and a membership interest assignment. Attorney review is encouraged.
  5. Transfer and filingsPayment clears, ownership transfers, and the buyer updates the state records, registered agent and EIN.

How LLC ownership transfers

An LLC is not sold like a car with a title. The seller transfers their membership interest to the buyer through a written assignment, and the operating agreement is updated to name the new member. The LLC itself keeps its name, formation date and state record.

After the sale, the buyer updates the state's records where required, changes the registered agent, and handles the EIN. In many cases the IRS treats a change in ownership as a reason to apply for a new EIN, so buyers should ask their CPA.

We verify entities, screen both sides, make introductions and provide agreement templates. We do not provide legal or tax advice, hold funds, form new companies, or sell business credit, funding or bank accounts. Either side may hire an attorney at any point, and we encourage it.

Timing

Most matches take days to weeks, depending on the states and ages requested. State filing updates after closing depend on each state's processing times.
